Terms of Service

These Terms govern your use of Vlex, rental orchestration software for equipment and event rental businesses (the "Service"). The Service is provided by Vlex POS ("we", "us"). When you use the Service you are contracting with Vlex POS.

1. Acceptance

By creating an account or continuing to use the Service, you agree to these Terms. If you use the Service on behalf of a business, you confirm you have authority to bind that business. You must be of legal age to form a contract.

2. The Service and your account

The Service includes dispatch scheduling, counter point-of-sale, inventory, customer records and inspection tools. You must provide accurate information, keep your login credentials confidential, and you are responsible for activity under your account and the accounts of staff you invite.

3. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You must not reverse engineer, resell or redistribute the Service, or circumvent plan limits or technical restrictions.

4. Acceptable use

You must not misuse the Service, including by:

• using it for any unlawful purpose or in breach of applicable law;
• fraud, spam or misleading activity;
• infringing anyone's intellectual property or privacy rights;
• interfering with its security or operation, including malware, probing, scraping or overloading our systems.

5. Your data

You keep ownership of the data you enter (such as your fleet, bookings and customer records). You grant us a limited licence to host and process it solely to provide the Service. You are responsible for having the right to collect and store your customers' information.

6. Intellectual property

We and our licensors retain all rights in the Service, including the software, documentation and the Vlex name and branding.

7. Plans, payment and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, renewals, cancellations and refunds are governed by Paddle's Buyer Terms. Paid plans renew monthly until cancelled; cancellations take effect at the end of the current billing period. See our Refund Policy.

8. Service level

We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, the Service is provided "as is" without implied warranties of merchantability or fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. After termination we may delete your data following a reasonable period during which you can request an export.

10. Liability

To the extent permitted by law, we are not liable for indirect, consequential or special damages, including lost profits, data or goodwill, and our total liability is limited to the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law does not allow it.

11. Indemnity

You agree to indemnify us against claims arising from your data, your unlawful use of the Service, or your breach of these Terms.

12. General

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and disputes will be resolved in the courts of Ontario. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. We may update these Terms and will post the new version here.
